Job summary

AmLaw 50 Firm in San Francisco seeks an Associate Attorney for its leading Technology Transactions Practice Group, handling high-impact IP and commercial transactions for global technology clients. JD from a top-tier law school, CA Bar in good standing, and 3–6 years of IP/tech deal experience are required.

Responsibilities include drafting and negotiating complex agreements, IP diligence for M&A and financing, and providing strategic counseling across technology sectors.

Qualifications

• JD from top-tier law school with excellent academics.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar admission in California, in good standing.
• 3–6 years of IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP/technology agreements.
• IP/M&A and equity financing experience is a plus; AI interest is advantageous.
• Technical background preferred (science/engineering/tech degree or equivalent).

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements including licensing, development, services, distribution, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving tech trends.
• Work directly with clients to understand objectives and tailor legal solutions.
• Contribute to team development and client growth initiatives.
