An international AmLaw 50 firm in San Francisco seeks an Associate Attorney for its Technology Transactions Practice Group. You will handle high‑impact IP and commercial technology transactions for global clients and work closely with cross‑functional teams to manage complex deals.

Qualified candidates hold a JD from a top‑tier law school, California bar in good standing, and 3–6 years of IP/transactions experience with strong drafting and negotiation skills.

Qualifications

• JD from a top-tier law school with excellent academic record.
• California bar admission in good standing.
• 3–6 years of IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology agreements.
• Experience IP aspects of M&A and equity financing.
• Technical background preferred (science/engineering).

Responsabilités

• Draft, review, and negotiate IP/technology agreements including licensing and development.
• Provide IP diligence and strategic counseling in connection with M&A and equity financing.
• Collaborate with internal teams on IP-related risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models and technology trends.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development and client growth initiatives.
