San Francisco-based AmLaw 50 firm is seeking an Technology Transactions Associate Attorney to handle high-impact IP and commercial technology deals for global clients. The role emphasizes drafting, negotiating, and structuring complex technology agreements and providing strategic IP counsel.

You will work in a leading Technology Transactions Practice Group, collaborating with cross-functional teams to manage multiple deal streams and deliver sophisticated legal solutions across sectors.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active California bar in good standing.
• 3–6 years of IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements.
• IP aspects of M&A and equity financing transactions.
• Interest in artificial intelligence is advantageous.
• Technical background preferred; science degree or tech experience beneficial.
• Ability to manage multiple deal streams in a fast-paced environment.
• Strong research, writing, analysis, and communication skills with business acumen.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models and technology trends.
• Work directly with clients to understand business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
