AmLaw 50 firm seeks a Technology Transactions Associate Attorney in San Francisco to work on high‑impact IP and commercial transactions for leading technology clients worldwide. You will draft, negotiate, and structure complex technology and IP agreements across licensing, development, services, distribution, and partnerships within a dynamic, global team.

Applicants must hold a JD from a top‑tier law school with excellent academics, active California bar admission, and 3–6 years of IP and tech

Qualifications

• JD from a top-tier law school with excellent academics.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and technology transactions experience in a law firm.
• Experience structuring, drafting, and negotiating complex IP/tech agreements (licensing, development, services, distribution, partnerships).
• IP aspects of M&A and equity financing transactions experience.
• Interest in or experience with AI is advantageous.
• Technical background strongly preferred (Science degree or tech experience).
• Ability to manage multiple deal streams in a fast-paced environment.
• Excellent research, writing, analysis, and communication skills; strong business acumen and attention to detail.

Responsabilités

• Draft, review, and negotiate a wide range of technology and IP agreements including licensing, development, services, distribution, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, e-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams on IP-related risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models and tech trends.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.
