Job summary

The San Francisco-based AmLaw 50 firm seeking an Associate Attorney for its Technology Transactions Practice Group. The role focuses on high‑impact IP and commercial tech transactions for global clients. JD from a top-tier law school, CA Bar in good standing, and 3–6 years of IP experience are required.

Ideal candidates have a technical background, experience with licensing, development, services, and M&A/IP diligence, and a keen ability to manage multiple deals in a fast-paced environment.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active California Bar in good standing.
• 3–6 years of IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP/tech agreements (licensing, development, services, distribution, partnerships).
• IP-related M&A and equity financing experience.
• Interest or experience with AI is advantageous.
• Technical background preferred (science degree or tech experience).

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing and development.
• Provide IP diligence and strategic counsel on M&A and equity financing.
• Collaborate with corporate, litigation, and regulatory teams on IP risk.
• Advise clients on structuring commercial transactions aligned with tech trends.
• Work directly with clients to understand objectives and tailor legal solutions.
• Contribute to team development and client growth initiatives.
