Job summary

An international AmLaw 50 firm seeks an Associate Attorney to join its Technology Transactions Practice Group in San Francisco. The role focuses on high-impact IP and technology-related commercial matters for global clients.

Qualified candidates have a JD from a top-tier law school, CA bar, 3–6 years in IP and commercial transactions, and strong writing and analytical skills to counsel on licensing, development, services, and partnerships. AI interest is a plus.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects of mergers and acquisitions and equity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technical background strongly preferred.
• Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing and development.
• Provide IP diligence and strategic counsel in connection with M&A and equity financing.
• Collaborate with internal teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development and client growth initiatives.
