Job summary

An international AmLaw 50 firm in San Francisco is seeking a talented Associate Attorney to join its Technology Transactions Practice Group, handling high-impact IP and commercial transactions for global technology clients.

Ideal candidates have a JD from a top-tier law school, California bar, 3–6 years in IP and tech transactions, and a strong background in drafting, negotiating, and structuring complex IP agreements and licensing arrangements.

Qualifications

JD from a top-tier law school with excellent academic record.
Active California Bar admission in good standing.
3–6 years of IP and commercial transactions experience in a law firm.
Experience structuring, drafting, and negotiating complex IP/tech agreements.
Experience handling IP aspects of M&A and equity financing.
Technical background preferred (science or tech experience).

Responsibilities

Draft, review, and negotiate technology and IP agreements including licensing and development.
Provide IP diligence and strategic counseling in connection with M&A and equity financing.
Collaborate with internal corporate, litigation, and regulatory teams on IP risks and strategy.
Advise clients on structuring commercial transactions aligned with evolving tech trends.
Work directly with clients to understand business objectives and craft tailored legal solutions.
Contribute to team development and client growth initiatives.
