Job summary

Essenti Talent is seeking a Technology Transactions Associate Attorney in San Francisco for an AmLaw 50 firm's leading practice. You will handle high-impact IP and technology transactions for global tech clients and advise on complex licensing, development, services, distribution, and partnerships.

Ideal candidates will have a JD from a top-tier law school with strong academics, 3–6 years IP/tech deal experience, and a technical background.

Qualifications

JD from a top-tier law school with excellent academic record.
Coursework in IP, technology, and/or commercial law required.
Active California Bar in good standing.
3–6 years IP and commercial transactions experience in a law firm.
Experience structuring, drafting, and negotiating IP and tech agreements (licensing, development, services, distribution, partnerships).
IP aspects of M&A and equity financing transactions.
Interest in AI advantageous.
Technical background preferred; science degree or tech experience.

Responsibilities

Draft, review, and negotiate technology and IP agreements including licensing, development, services, supply, distribution, manufacturing, and collaborations.
Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
Collaborate with internal teams to address IP risks and strategy.
Advise clients on structuring commercial transactions aligned with evolving business models and technology trends.
Work directly with clients to understand objectives and craft tailored legal solutions.
Contribute to team development, knowledge sharing, and client growth initiatives.
