Progress Software, a Nasdaq-listed company, is seeking a Corporate Counsel to join our Burlington, MA-based corporate legal team. This hybrid role supports M&A, SEC reporting, governance, compliance, and more.

Ideal candidates have 1–3+ years in corporate law and a JD from an accredited law school. The role offers exposure to a broad range of corporate matters, collaboration with internal stakeholders, and growth opportunities in a dynamic environment.

Qualifications

• JD from an accredited law school.
• Admitted to practice in Massachusetts or licensed where you live/work, with willingness to obtain Massachusetts admission.
• 1-3+ years of relevant corporate legal experience in law firm or in-house environment.

Responsibilities

• Support all phases of M&A activity, including due diligence, drafting, and post-closing integration.
• Assist with SEC filings and governance matters.
• Support global subsidiary governance and securities law compliance.
• Advise on executive compensation and equity plans.
• Negotiate global real estate footprints and manage cross-border legal entities.
• Build and improve tools and workflows for the role.
