N-able seeks a highly experienced Director of Securities and Corporate Counsel to lead global securities matters and corporate governance from its Burlington, MA location. You will advise the board and executive team on securities law, governance, and M&A while coordinating with Finance, Investor Relations, and Corporate Development.

Based in Burlington, MA, you will partner with the General Counsel to shape strategy, manage outside counsel, and develop company-wide policies.

Qualifications

• Strong negotiation and advisory skills for complex corporate matters.
• Excellent written and oral communication, with the ability to present to executives.
• Deep analytical thinking and sound judgment in high-stakes scenarios.

Responsibilities

• Lead global securities law matters and related compliance, including SEC and Exchange Act issues.
• Prepare and review SEC filings (10-K, 10-Q, 8-K) and related materials.
• Advise on corporate governance, ESG initiatives, executive compensation, and related policies.
• Oversee investor relations activities, earnings scripts, press releases and related disclosures.
• Manage outside counsel for M&A, corporate financing and strategic transactions.
• Develop training on securities law, insider trading, Regulation FD and best practices.
