Job summary

N-able is seeking an energetic, business-minded Director of Securities and Corporate Counsel to join our Legal Department in Burlington, MA. This lead corporate and securities attorney role partners with the General Counsel and cross-functional teams to handle securities law, governance, M&A and strategic transactions for a global software company.

You'll work with the board, CEO and executive team on SEC matters, governance, investor relations and corporate development, while guiding day-to-day

Qualifications

• Juris Doctor, licensed in Massachusetts.
• Minimum of five to seven years of private firm and/or in-house legal experience.
• Broad experience with corporate, securities, M&A and other transactional matters.
• Experience supporting corporate governance for public companies.
• Excellent writing, analytical and judgment skills.

Responsibilities

• Lead global securities law matters and related compliance, including SEC filings.
• Advise on corporate governance, CSR/ESG and executive compensation.
• Support board and committee notices, agendas, materials and minutes.
• Oversee investor relations matters and communications.
• Manage outside counsel for strategic transactions including M&A and financing.
• Develop training on securities law and strategic transaction best practices.
• Draft and negotiate complex commercial agreements as needed.
• Maintain deep knowledge of company products and objectives.
