The role offers hybrid work with three days on-site in Massachusetts and requires a JD and bar admission with 3+ years of relevant experience in a public company or top law firm. Strong drafting and collaboration skills are essential.

Qualifikationen

• J.D. from an accredited law school, active bar membership.

Aufgaben

• Prepare and review SEC and Exchange Act filings (Form 10-K, 10-Q, 8-K).
• Advise on investor relations communications and earnings materials.
• Support corporate governance and secretary matters with the Board.
• Assist with debt and equity offerings and refinancings.
• Advise on equity compensation programs and executive compensation.
• Support internal tax reorganizations and strategic tax initiatives.
• Manage legal matters for global subsidiaries and intercompany agreements.
• Support M&A due diligence and antitrust/regulatory matters.
• Collaborate with Finance, Investor Relations, Tax, Treasury, HR and others.
• Provide practical, business-oriented legal advice.
