Job summary

Lateral Link is assisting a global client in Boston, MA to hire a Corporate Counsel to support the securities and governance function. The role reports to the General Counsel and works on a broad range of matters including SEC disclosures, debt refinancings, equity plans, and international subsidiary oversight.

This hybrid position requires on-site work three days per week. Ideal candidates hold a JD, have 5+ years in securities/governance, and are licensed to practice in at least one U.S.

Qualifications

• Five or more years of focused experience in securities and corporate governance.
• JD from an accredited law school and bar admission in at least one US state.
• Experience advising public-company clients or working in-house in a public company securities function.
• Strong knowledge of public-company reporting, disclosure, and compliance obligations.
• Excellent communication, organizational skills, and ethical standards.

Responsibilities

• Draft and review SEC filings including Form 10-K/10-Q, 8-K, proxy statements.
• Advise on investor relations materials and related communications.
• Support corporate secretary on board- and committee-related matters.
• Support corporate finance transactions including debt and equity offerings.
• Handle equity compensation matters and stock plans administration.
• Advise on executive compensation and tax planning matters.
• Oversee global subsidiary matters and intercompany agreements.
• Assist with M&A and regulatory work.
• Collaborate with Finance, Investor Relations, Tax/Treasury, and HR.
