Progress Software Corporation in Burlington, MA is seeking a Corporate Counsel to support all phases of M&A activity, securities filings, and governance matters. This hybrid role requires a JD and MA admission or eligibility, with 1–3+ years of relevant experience.

You will liaise with outside counsel, manage multiple matters, and collaborate across internal teams while contributing to a world-class legal function. Base compensation is competitive with a performance bonus potential.

Qualifications

• JD from an accredited law school.
• Admitted to practice law in Massachusetts or licensed in your jurisdiction (with willingness to obtain MA admission).
• 1-3+ years of relevant experience in corporate law at a law firm or in-house.

Responsibilities

• Support all phases of M&A activity: structure diligence, draft definitive documentation, and manage post-closing integration.
• Liaise with outside counsel and internal stakeholders throughout the M&A lifecycle.
• Prepare SEC filings, including periodic and current reports, proxy statements, and Section 16 filings.
• Support corporate governance matters, including board materials and securities law compliance.
• Support global subsidiary governance, formations, dissolutions, foreign qualifications, restructurings.
• Support executive compensation and equity plans.
