Job summary

CohnReznick is seeking a Senior Associate - Software Due Diligence to join our Merger Integration and Carve out Services practice. You’ll perform due diligence engagements for private equity and corporate transactions, evaluating software architecture, cybersecurity, and data controls.

The role offers interaction with clients and teams nationwide, opportunities to mentor junior professionals, and a stake in our growing MICO practice. Hybrid work is supported with some travel.

Qualifications

• Bachelor’s degree in CS/Engineering/IS/Business or related field.
• 2–3 years in transaction advisory, consulting, tech, or related client-facing role.
• Experience with software/IT businesses; exposure to modern software architecture and cloud/DevOps.
• Proficient with Excel and PowerPoint; strong communication and analytical skills.

Responsibilities

• Perform and participate in technology and software due diligence engagements for private equity and corporate transactions.
• Assess software products, architecture, infrastructure, cybersecurity, data, and SDLC maturity.
• Prepare client-ready deliverables and executive summaries.
• Present findings to deal teams and senior client stakeholders.
• Mentor junior professionals; support post-close initiatives including Day1 readiness and carve-outs.
