Permanent Placements LLC is seeking a Senior Attorney for a premier international law firm with a top technology and emerging companies practice. This role centers on Blue Sky and securities compliance, venture financings, and capital markets work for growth companies and funds.

The successful candidate will advise on federal and state securities laws, exemptions, and related regulatory developments, coordinating with cross-functional teams on sophisticated transactions.

Qualifications

• J.D. from an accredited law school and active bar admission.
• Significant experience with federal securities laws and Blue Sky compliance.
• In-depth knowledge of Regulation D, Rule 701, Reg A, Rule 144.
• Experience supervising Form D filings and NASAA EFD filings.

Responsibilities

• Advise clients on federal and state securities compliance matters.
• Counsel on Blue Sky laws, securities registrations and exemptions.
• Support venture financings, private placements, and capital markets work.
• Perform due diligence and assist cross-functional teams on complex deals.
