Raydar is seeking a Senior Corporate Associate for a technology-focused practice. You will run equity financing transactions from term sheets to closing and advise technology companies on governance and outside counsel matters.

The role also supports sell-side M&A as clients approach exits, assists with fund formation, and works directly with partners and clients to manage your own matters.

Formación

• Seven to fifteen years of transactional experience with early-stage and venture-backed companies.
• JD from a well-regarded law school; active US bar admission in good standing.
• Experience drafting primary financing documents and related ancillary documents.
• Experience reviewing and negotiating term sheets; track record of end-to-end financing deals.
• Experience representing companies rather than investors; tech sell-side M&A preferred.

Responsabilidades

• Run equity financing transactions from term sheet through closing.
• Represent technology companies on governance and day-to-day outside counsel matters.
• Advise on equity incentive plans and commercial contracts.
• Support sell-side M&A transactions as clients approach an exit.
• Help with overflow fund formation work as needed.
• Work directly with partners and clients while managing your own matters.
