Job summary

Quantinuum is seeking a Senior Paralegal (Securities) to support securities compliance, governance, and entity management across multiple jurisdictions from Broomfield, CO or Brooklyn Park, MN. The role blends independent handling of routine matters with escalation on complex issues, and may allow limited remote work.

You will manage SEC filings, governance documents, and board processes, while coordinating with stakeholders, counsel, and auditors to ensure timely, accurate outcomes.

Qualifications

• 8+ years’ experience in a securities, corporate governance, or company secretarial paralegal role.
• U.S. Person status required (citizen, green card holder, or permanent resident)
• US government security restrictions apply: not a PRC or Russian national unless US citizen

Responsibilities

• Coordinate SEC filings (Exchange Act reports, proxy statements) with timelines and disclosures.
• Draft routine to moderately complex SEC filings using precedents and templates.
• Manage SEC/calendar deadlines, blackout periods, and reporting obligations with internal inputs.
• Monitor securities regulation compliance and listing standards, escalate risks as needed.
• Lead end-to-end board/committee processes: planning, agenda, materials, logistics.
• Draft/maintain board minutes, resolutions, governance records, actions follow-up.
• Oversee director records, onboarding, appointments, resignations per governance requirements.
• Oversee global entity governance: statutory filings, registers, minute books, multi-jurisdictional compliance.
• Maintain entity management systems and governance data; coordinate with advisors and auditors.
