Green Key Resources is seeking an experienced Corporate Paralegal to join a seasoned legal team supporting governance, SEC reporting, and compliance matters. The role is fully remote within the U.S. and offers ownership of responsibilities with limited supervision.

The ideal candidate has significant SEC reporting experience and a strong ability to manage multiple priorities in a fast-paced environment. In-house and international entity experience are highly valued.

Qualifications

• 5–7+ years of corporate paralegal experience required.
• Extensive SEC filings and Section 16 reporting experience.
• In-house experience preferred, with global entities a plus.
• Strong organizational skills and attention to detail.
• Ability to work independently and manage multiple deadlines.

Responsibilities

• Prepare and coordinate SEC filings, including Form 8-K, 10-Q, 10-K, and Section 16(a).
• Support SEC governance and ongoing corporate compliance requirements.
• Assist with state registrations, annual reports, business licenses, and entity compliance.
• Maintain corporate records, including minute books and bylaws.
• Support governance across domestic and international entities.
• Assist with corporate transactions, including financings and M&A.
• Conduct legal research and coordinate with outside counsel and regulators.
• Maintain accurate and organized legal documentation and deadlines.
