Job summary

Milliman seeks a Senior Governance Paralegal to support corporate governance, compliance, and entity management for a privately held global company. You will partner with the Governance team and report to senior leadership, overseeing an international entity portfolio and providing visibility to the C-Suite and shareholders.

Qualifications

  • Minimum 15 years of directly relevant experience managing US and International entity governance.
  • Tech-forward, comfortable with exploring AI to improve workflows.
  • Experience working with board of directors, senior management and cross-functional teams with the ability to effectively communicate and manage governance requirements.
  • Excellent writing, proofreading, and editing skills.
  • Demonstrated ability to multi-task and be detail-oriented with strong organizational skills.
  • Self-motivated with an ability to accomplish tasks with little oversight.
  • Excellent time management with ability to effectively prioritize tasks, especially demonstrating change flexibility.
  • Solid judgment skills and demonstrated ability to take initiative and discern efficient processes to complete tasks.
  • High degree of integrity and discretion in handling confidential information.
  • Excellent client relationship skills.
  • Comfortable working independently and in a team environment with employees at all levels, including the executive team, in a cooperative, professional, and friendly manner.
  • Ability to read, create and interpret basic to moderately complex legal documents.
  • Proficient in Microsoft 365, specifically Word, SharePoint, Excel, PowerPoint, and Adobe Acrobat Pro.

Responsibilities

  • Lead annual compliance requirements and governance processes for entities across EMEA, South America, and APAC.
  • Prepare governance documents such as consents, resolutions, minutes, extracts, POAs, intercompany agreements, organizational charts and formation documents; onboarding/offboarding and statutory filings.
  • Lead annual general meetings and board meetings; prepare notices, materials, and agendas.
  • Draft authority and verification certificates.
  • Respond to regulatory inquiries, audits and third-party requests for information.
  • Maintain and improve records and databases including minute book maintenance.
  • Monitor and calendar compliance deadlines and key governance events across jurisdictions.
  • Attend cross-functional entity project meetings.
  • Support formations, dissolutions, mergers and acquisitions.
  • Manage US registrations across all 50 states and US territories.
  • Participate in building out entity management system; organize, review, maintain and audit records annually.
  • Support audit requests and functions; reporting summaries and tracking.
  • Assist with shareholder lifecycle processes including elections committees and share issuance/repurchase processes.
  • Create electronic files, spreadsheets, checklists, and overall database management for governance processes.
  • Liaise with internal stakeholders, external counsel, and other third parties to ensure timely completion of projects.
  • Stay current on regulatory changes and educate management on new requirements.
  • Serve as a thought leader to improve processes and build scalable solutions.
  • Store, track, and destroy business documents per Data Privacy policies.
  • Limited expense report and billing tasks as related to entities.
  • Lead or participate in other governance improvement projects.
