Job description

We are seeking a Senior Paralegal (Securities) in our Broomfield, CO Location.

Quantinuum believes that employees work better, more efficiently and more collaboratively in close proximity to other employees, where ideas can be exchanged readily, and decisions can be made more quickly for the benefit of the Company and our customers. All employees should work at their assigned location; however, this role may offer the opportunity to work remotely up to 2 days per week, with approvals.

About the Role

This is a paralegal role within the Legal & Compliance Operations team, focused on securities compliance, corporate governance, and entity management. The role will support Quantinuum's Company Secretary/Head of Corporate Governance across the full range of securities and governance workstreams, including SEC filings, securities exchange compliance, board and committee support, subsidiary management, and entity governance across the US, UK, Germany, Japan, Singapore and the Middle East.

The Securities Paralegal will work independently on routine securities and governance matters, while escalating higher-complexity or higher-risk issues.

Key Responsibilities:
  • Own the coordination, tracking, and timely delivery of SEC filings (including Exchange Act reports and proxy statements), ensuring alignment with disclosure requirements and internal timelines.
  • Prepare first drafts of routine and moderately complex SEC filings and governance documents using established precedents and templates.
  • Manage SEC and securities exchange compliance calendars, including filing deadlines, blackout periods, and reporting obligations, proactively coordinating inputs from internal stakeholders.
  • Monitor compliance with securities regulations and listing standards, identifying risks or gaps and escalating where appropriate.
  • Lead end-to-end board and committee processes, including meeting planning, agenda and materials coordination, and logistics.
  • Draft and maintain high-quality board minutes, resolutions, and governance records, and ensure timely follow-up on actions to support execution of board decisions.
  • Maintain director records and oversee onboarding, appointments, and resignations in line with governance requirements.
  • Oversee corporate governance across global entities, including statutory filings, maintenance of registers and minute books, and tracking multi-jurisdictional compliance obligations.
  • Manage and enhance entity management systems and corporate records, ensuring data accuracy, producing regular reporting, supporting process improvements, and coordinating with external advisors, counsel, and auditors.
YOU MUST HAVE:
  • Minimum 8+ years’ experience in a securities, corporate governance, or company secretarial paralegal role, in-house or at a law firm, with working knowledge of SEC reporting requirements, Exchange Act filings, and securities exchange listing standards.
  • Due to Contractual requirements, must be a U.S. Person defined as, U.S. citizen permanent resident or green card holder, workers granted asylum or refugee status
  • Due to national security requirements imposed by the U.S. Government, candidates for this position must not be a People's Republic of China national or Russian national unless the candidate is also a U.S. citizen.

$98,000 - $132,000 a year

Compensation & Benefits:

The pay range for this role is $98,000 – $132,000 annually. Actual compensation within this range may vary based on the candidate’s skills, educational background, professional experience, and unique qualifications for the role.
