  • Lead end-to-end board and committee processes, including meeting planning, agenda and materials coordination, and logistics.
  • Draft and maintain high-quality board minutes, resolutions, and governance records, and ensure timely follow-up on actions to support execution of board decisions.
  • Maintain director records and oversee onboarding, appointments, and resignations in line with governance requirements.
  • Oversee corporate governance across global entities, including statutory filings, maintenance of registers and minute books, and tracking multi-jurisdictional compliance obligations.
  • Manage and enhance entity management systems and corporate records, ensuring data accuracy, producing regular reporting, supporting process improvements, and coordinating with external advisors, counsel, and auditors.
YOU MUST HAVE:
  • Minimum 8+ years’ experience in a securities, corporate governance, or company secretarial paralegal role, in-house or at a law firm, with working knowledge of SEC reporting requirements, Exchange Act filings, and securities exchange listing standards.

  • Due to national security requirements imposed by the U.S. Government, candidates for this position must not be a People’s Republic of China national or Russian national unless the candidate is also a U.S. citizen.
WE VALUE:
  • Experience maintaining corporate records, statutory registers, and governance documentation.
  • Strong drafting, research, and organizational skills.
  • Able to manage multiple workstreams independently, track deadlines accurately, and prioritize effectively.
  • Sound judgment about when to handle matters directly and when to elevate.
  • Confident communicating with internal stakeholders, board members' offices, and external advisors on routine matters.
  • Familiarity with entity management systems, SEC filing platforms (e.g., EDGAR), and standard legal technology tools.
  • Interest in or exposure to emerging technology sector.

The pay range for this role is $98,000 – $132,000 annually. Actual compensation within this range may vary based on the candidate’s skills, educational background, professional experience, and unique qualifications for the role.
