Job summary

CoreWeave is seeking a Senior Paralegal, Corporate to manage a portfolio of foreign subsidiaries, oversee governance, and handle regulatory filings. You will coordinate with local counsel and service providers, manage signature processes, and support M&A-related entity activities in a fast-paced tech environment.

The role reports to the VP, Deputy General Counsel, Corporate and requires strong Notary credentials, experience in cross-border entities, and proficiency with GEMS and DocuSign.

Qualifications

• 7+ years of corporate paralegal experience, including managing the formation, maintenance, and dissolution of non-U.S. entities.

Responsibilities

• Manage the full lifecycle of foreign subsidiaries, including registration, maintenance, and dissolution or liquidation.
• Lead new-country launches and expansion projects, including entity formations and licenses.
• Prepare and track director/officer appointments, resignations, and related filings for foreign subsidiaries.
• Maintain statutory registers, minute books, registered offices, and renewal calendars.
• Draft and manage subsidiary governance documents and powers of attorney.
• Coordinate signature requests for directors and officers, including notarizations and apostilles.
• Support entity-related aspects of M&A integration and restructurings.
• Maintain the GEMS database for entities in your portfolio.
• Develop templates, checklists, processes, and policies for entity management.
