Job summary

Consertus, Inc. is seeking a Senior Corporate Paralegal specializing in Global Entity Management. You will lead the full lifecycle of domestic and international entities, maintain data quality, and ensure regulatory compliance across multiple jurisdictions.

Reporting to the Chief Legal Officer, you will collaborate across Tax, Treasury, and Finance, support board governance, and assist with M&A and corporate restructurings in a fast-paced, high-growth environment.

Qualifications

• 3+ years in corporate paralegal, entity management, compliance, and/or legal operations fields.
• BS/BA from an accredited university preferred; equivalent work experience considered.
• Proficiency with Microsoft Office Suite.
• Experience with Sam.gov registrations, renewals, and filings.
• Experience in professional licensing.

Responsibilities

• Lead global entity management across domestic and international entities.
• Maintain centralized entity data and ensure audit readiness.
• Prepare board/shareholder resolutions, minutes, and governance documents.
• Coordinate with tax, treasury, and finance on intercompany transactions.
• Liaise with regulators, agents, and outside counsel for compliance.
• Support M&A, joint ventures, and corporate restructurings.
