ATI is seeking a Senior Paralegal – Corporate Governance and Securities for our Dallas, TX headquarters. This role reports to the Vice President, Corporate Secretary and supports governance, SEC filings, and board materials. It involves coordinating Board meetings, maintaining records, and collaborating with C-suite and outside counsel.

On-site 5 days a week. Ideal candidate has 10+ years paralegal experience, deep knowledge of governance practices, and proficiency with Diligent, Boardvantage,

Qualifications

• Bachelor’s degree and/or Paralegal Certificate from an accredited program.
• Minimum 10 years of paralegal experience, including at least 5 years in corporate or securities work at a public company.
• Strong knowledge of corporate governance practices.
• Experience with EDGAR filings and Section 16 reporting tools.
• Experience interacting with the Board of Directors of a public company.

Responsabilités

• Assist in preparing materials for Board of Directors and committee meetings, including agendas and minutes.
• Coordinate Board of Directors and committee meeting logistics, including booking travel, scheduling meetings and managing meeting calendars.
• Assist with preparation and filing of SEC reports (10-K, 10-Q, 8-K), proxy statements, and Section 16 filings.
• Maintain and organize corporate governance records, including board minutes, resolutions, and committee materials.
• Lead domestic and foreign subsidiary governance management, including forming or dissolving entities.
