Job summary

ATI is seeking a Senior Paralegal – Corporate Governance and Securities to join our legal team at the Global Corporate Headquarters in Dallas, TX. You will support the Vice President, Corporate Secretary, managing governance, securities compliance, and public company reporting obligations, including preparing SEC filings and maintaining corporate records.

Qualifications

Bachelor’s degree or Paralegal Certificate from an accredited program.
Minimum 10 years of paralegal experience, at least 5 years' corporate or securities paralegal at a public company.
Strong knowledge of corporate governance practices.
Experience with EDGAR filing systems and Section 16 reporting tools.
Experience interacting with Board of Directors of a public company.

Responsibilities

Assist in preparing materials for Board of Directors and committee meetings and annual shareholder meetings, including agendas and meeting minutes.
Coordinate Board of Directors and committee meeting logistics, including booking travel, scheduling meetings and managing meeting calendars.
Facilitate the distribution of board materials through board portal systems (e.g., Diligent) and ensure timely delivery to directors.
Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings.
Coordinate with finance, investor relations, and outside counsel on securities filings and disclosures.
