Job summary

Transamerica is seeking a Senior Counsel in a hybrid Philadelphia-area role to lead significant portions of M&A, divestitures, and strategic transactions. You will work with Corporate Development and senior leaders to identify risks, negotiate documents, and drive integrations post-acquisition.

The ideal candidate has a JD, 5+ years of experience, and a license to practice in the relevant state. Strong communication and judgment are essential for success in a fast-paced, evolving environment.

Qualifications

• JD from an ABA accredited law school.
• Five years of relevant legal experience.
• Licensed or eligible to practice in the applicable state.
• Ability to communicate clearly in writing and orally.
• Ability to exercise sound judgment in a fast paced environment.
• Ability to adapt quickly in a changing corporate environment.
• Proficient in MS Office.

Responsibilities

• Support all legal aspects of mergers, acquisitions, joint ventures, minority investments, and other strategic transactions.
• Review and negotiate non-disclosure agreements.
• Prepare and negotiate transaction documents (LOIs, SPAs/APAs, etc.).
• Coordinate due diligence with SMEs and prepare materials for executive reviews.
• Ensure regulatory compliance and assist with approvals.
• Manage external law firms to meet deadlines and budget.
