Transamerica is seeking a Senior Counsel to lead and negotiate complex mergers, acquisitions, divestitures, and strategic transactions. The role partners with Corporate Development and senior leaders, running significant portions of deals, identifying risks early, and guiding integrations post‑acquisition.

The candidate must communicate clearly with executives, manage external law firms, and navigate a fast-paced corporate environment. Hybrid work with travel up to 25% is required.

Competenze

• JD from an ABA accredited law school.
• Five years of relevant legal experience.
• Licensed or eligible to practice in the applicable state.
• Ability to effectively communicate, both written and oral, with the intended audience.
• Ability to exercise sound judgment in a fast paced environment.
• Ability to exercise agility and adaptability in providing legal advice.
• Comfortable in a rapidly changing corporate environment.
• Proficient using MS Office.

Mansioni

• Support all legal aspects of mergers, acquisitions, joint ventures, minority investments, and other strategic transactions.
• Review and negotiate non-disclosure agreements.
• Prepare and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary transaction documents.
• Coordinate due diligence review and work closely with subject matter experts.
• Prepare materials for executive review regarding deal structure and risks.
• Ensure compliance with regulatory matters, including facilitating regulatory approval processes for transactions.
• Provide support for integration related legal matters.
• Direct and manage external law firms to ensure transaction deadlines are met and completed within budget.
• Work on complex legal issues where analysis requires identification and evaluation of multiple factors.
• Exercise independent judgment regarding legal advice with limited supervision of more senior attorney.
