Job summary

Transamerica is seeking a Senior Counsel to serve as a key legal advisor on mergers, acquisitions, divestitures, and strategic transactions. You will partner with Corporate Development and senior leaders, running significant portions of deals, identifying risks, negotiating documents, and guiding integrations post-acquisition.

The role requires confident engagement with executives, clear communication of complex issues, and the ability to manage multiple tasks in a fast-paced legal environment.

Qualifications

• JD from an ABA-accredited law school.
• Minimum of five years of relevant legal experience.
• Licensed or eligible to practice in the applicable state.
• Strong communication skills, written and oral.
• Ability to exercise sound judgment in a fast-paced environment.

Responsibilities

• Support all legal aspects of mergers, acquisitions, joint ventures, minority investments, and other strategic transactions.
• Review and negotiate non-disclosure agreements.
• Prepare and negotiate transaction documents, including LOIs, purchase agreements, and ancillary documents.
• Coordinate due diligence and work with subject matter experts.
• Prepare materials for executive review regarding deal structure and risks.
• Ensure regulatory compliance and assist with approvals processes.
• Provide support for integration-related legal matters.
• Direct and manage external law firms to meet deadlines and budget.
