Job summary

Transamerica is seeking a Senior Counsel to serve as a key legal advisor on mergers, acquisitions, divestitures, and strategic transactions. The role involves partnering with Corporate Development and senior leaders, negotiating documents, and driving post‑acquisition integrations.

The ideal candidate has a JD from an ABA‑accredited law school, at least five years of relevant experience, and is licensed or eligible to practice in the applicable state.

• Experience with mergers, acquisitions, and divestitures is preferred.

Responsibilities

• Support mergers, acquisitions, joint ventures, minority investments, and other strategic transactions.
• Review and negotiate non-disclosure agreements.
• Prepare and negotiate transaction documents, including LOIs, purchase agreements, and related documents.
• Coordinate due diligence with subject matter experts.
• Provide guidance on regulatory matters and integration-related legal issues.
