Job summary

A leading global industrial company is seeking a Senior Commercial Counsel to join its Americas legal team in Eastern Pennsylvania. The role focuses on M&A, complex commercial transactions, and strategic initiatives across North America, offering visibility and impact with business leaders.

You will lead multi-faceted deals, draft and negotiate critical agreements, advise on regulatory matters, and coordinate with tax and finance.

Qualifications

• 8+ years of transactional experience in private practice or in-house.
• Strong M&A background, leading deals from due diligence to closing.
• Experience drafting and negotiating complex commercial agreements.
• Familiarity with antitrust and regulatory considerations in transactions.
• Bar admission in a U.S. state; eligible to practice in Pennsylvania.

Responsibilities

• Lead M&A transactions, including deal structuring, negotiation, documentation, and post-closing integration support.
• Draft and negotiate commercial agreements, including supply, equipment sales, and joint venture arrangements.
• Advise business leaders on strategic initiatives, legal compliance, and commercial risk.
• Partner with tax, finance, and other internal teams on significant transactions and capital investments.
• Manage outside counsel and help resolve commercial disputes.
