Job summary

Air Products seeks a Senior Commercial Counsel in Allentown, PA to provide transactional and compliance legal support for the North American region. You will lead complex commercial transactions, including M&A, drafting sophisticated agreements, and coordinating cross-functional legal support with tax, finance and operational teams.

The role emphasizes strong business acumen, negotiation skills, and the ability to advise executives on risks and opportunities across diverse projects.

Qualifications

• MBA or other business degree not required; JD from an accredited U.S. law school is required.
• 8+ years of transactional experience in private practice or corporate law.
• Admission to at least one U.S. State Bar with in-house counsel eligibility in PA.

Responsibilities

• Lead and manage all phases of M&A transactions, including due diligence, deal structuring and closing.
• Draft, review, and negotiate complex transaction documents: purchase agreements, NDAs, LOIs.
• Oversee regulatory filings and antitrust reviews (HSR) when applicable.
• Advise on post-closing integration and cross-functional matters with tax and finance.
• Manage outside counsel and control legal costs across transactions.
• Provide compliance counseling to business clients and senior leadership.
