Job summary

Tata Consultancy Services is seeking a Corporate Counsel for IT Transactions in New York, NY or Edison, NJ. The role requires daily on-site presence and heavy engagement with sales teams to negotiate complex outsourcing and IT contracts.

Ideal candidates will have 7–13 years of experience drafting and negotiating Master Outsourcing Agreements, PSAs, SOWs, NDAs, and related documents, with strong negotiation and stakeholder management skills.

Qualifications

• At least 7–13 years of relevant work experience in structuring, negotiating, and drafting Outsourcing, IT and Services contracts as a service provider/vendor.
• Must enjoy working with sales teams in the technology and outsourcing industry.
• Must be able to work independently, be self-motivated and have excellent organizational, communication, and problem-solving abilities.
• Must be able to take a pragmatic approach to minimize redlines
• Must have strong negotiation skills with the ability to understand the customer perspective and reach a solution to protect the organization interests
• Must enjoy a fast-paced environment with multiple clients and stakeholders
• Must have experience working with internal stakeholders such as HR, Information Security, finance and to incorporate their comments into the document

Responsibilities

• Reviewing, drafting and negotiating inbound and outbound procurement, sales and revenue generating agreements.
• Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs.
