Job summary

Tata Consultancy Services seeks Senior Corporate Counsel – IT Transactions to oversee technology, software licensing, and outsourcing agreements from RFP through signature at our New York, NY or Edison, NJ offices. The role requires JD and eligibility to practice in the US and involves regular onsite work five days a week.

• Strong negotiation skills to protect the organization's interests.
• Experience coordinating with HR, Information Security, and Finance.

Senior Corporate Counsel - Technology/Software Licensing, IT, BPO, Engineering and other professional services outsourcing transactions

• Reviewing, drafting and negotiating inbound and outbound procurement, sales and revenue generating agreements.
• Reviewing, drafting and negotiating complex IT Services and Outsourcing Agreements including: Master Outsourcing Agreements, Professional Services Agreements, Bids and RFPs, Statements of Work, subcontracting agreements, software licensing, reseller agreements, NDAs, and SOWs.

Desired Skills & Experience

• Looking for at least 11 years of relevant work experience in structuring, negotiating, and drafting Outsourcing, IT and Services contracts as a service provider/vendor.
• Must enjoy working with sales teams in the technology and outsourcing industry.
• Must be able to work independently, be self-motivated and have excellent organizational, communication, and problem-solving abilities.
• Must be able to take a pragmatic approach to minimize redlines
• Must have strong negotiation skills with the ability to understand the customer perspective and reach a solution to protect the organization’s interests
• Must enjoy a fast-paced environment with multiple clients and stakeholders
• Must have experience working with internal stakeholders such as HR, Information Security, finance and incorporate their comments into the document
• Must be able to take a deal from the RFP stage to signatures independently with minimal supervision

Education

• Juris Doctorate (JD) from an accredited law school or equivalent law degree from an international legal education institution, with strong academic credentials.
• The candidate must be, or eligible to be, licensed in good standing to practice law within the US.

Job location will be located in Manhattan New York or in Metropark (Edison) New Jersey. Currently this role will report to the Deputy General Counsel – Head of Legal, Americas. Candidate must be willing to go into one of these office 5 days a week.

Salary Range: $175,000 - $220,000 a year
