Job summary

Providence Health & Services seeks a Corporate Counsel to provide strategic legal guidance on healthcare transactions across Providence’s hospitals and affiliates. You will handle M&A, divestitures, joint ventures, due diligence, and definitive agreements with a focus on regulatory compliance.

Ideal candidates hold a JD with admission in WA/CA/OR and 7–10 years’ healthcare transactional experience, and can coordinate cross-functional teams.

Qualifications

• Juris Doctor degree from an accredited law school.
• Active admission and license to practice law in California, Oregon, or Washington.
• 7–10 years of relevant legal experience advising healthcare organizations on complex transactions.

Responsibilities

• Advise on M&A, divestitures, joint ventures, and other complex healthcare transactions.
• Support transactions from initial evaluation through closing and post-closing matters.
• Draft, review, and negotiate transaction documents and related agreements.
• Identify healthcare regulatory issues including Stark, AKS, HIPAA, and tax-exempt considerations.
• Coordinate multidisciplinary teams and manage outside counsel.
