Job summary

Qualifications

• Juris Doctor degree from an accredited law school.
• Active license to practice law in California, Oregon, or Washington.
• 7–10 years of relevant legal experience advising healthcare organizations on mergers, acquisitions, divestitures, joint ventures, affiliations, or comparable complex transactions.
• Experience coordinating and managing outside counsel and multidisciplinary diligence teams.

Responsibilities

• Advise on M&A, divestitures, joint ventures, affiliations, strategic partnerships and other complex healthcare transactions.
• Support transactions lifecycle from evaluation through closing and integration.
• Draft, review and negotiate transaction documents including purchase, affiliation and joint venture agreements.
• Identify and advise on healthcare regulatory issues affecting transaction structure and execution.
• Manage due diligence, risk assessments, and coordination across multidisciplinary teams.
• Provide practical, risk-balanced advice to senior leaders and transaction teams.
• Collaborate with Department of Legal Affairs leadership to deliver timely legal support.
