Job summary

Providence is seeking a Corporate Counsel to provide strategic legal advice on healthcare transactions, including M&A, divestitures, joint ventures, affiliations, and other complex deals. The role partners with DLA leadership and cross-functional teams to structure, negotiate, and execute transactions from due diligence through post-closing integration in a fast-paced healthcare environment.

The position supports regulatory analysis under Stark, Anti-Kickback, HIPAA and related laws,

Qualifications

• Juris Doctor degree from an accredited law school.
• Active admission and license to practice law in California, Oregon, or Washington.
• At least 7–10 years of relevant legal experience advising healthcare organizations.
• Strong knowledge of healthcare regulatory requirements applicable to transactions.

Responsibilities

• Advise on M&A, divestitures, joint ventures, affiliations, and other complex healthcare transactions.
• Manage transactions from initial evaluation through closing and integration.
• Draft, review, and negotiate transaction documents (purchase, affiliation, JV, services agreements).
• Coordinate multidisciplinary transaction teams across departments and outside counsel.
• Provide practical, risk-balanced advice to senior leaders and transaction teams.
