Job summary

Providence is seeking a Corporate Counsel in Renton, WA to advise on mergers, acquisitions, divestitures, joint ventures, and strategic partnerships within the healthcare sector. The attorney will manage the full lifecycle of transactions, from structuring and due diligence to closing and post-closing integration.

Requires a JD and 7–10 years of healthcare-transaction experience, with strong regulatory knowledge and the ability to guide senior leaders on risk and deal terms.

Qualifications

• Juris Doctor degree from an accredited law school.
• Active admission and license to practice law in California, Oregon, or Washington.
• 7–10 years of relevant legal experience in healthcare transactions.
• Demonstrated experience managing transactions through the full lifecycle.
• Strong knowledge of healthcare regulatory requirements.

Responsibilities

• Advise on M&A, divestitures, joint ventures, affiliations, strategic partnerships, and other complex healthcare transactions.
• Support transactions from initial evaluation through closing and integration.
• Draft, review, and negotiate transaction documents, including purchase and affiliation agreements.
• Identify and advise on healthcare regulatory issues affecting transaction structure and execution.
• Manage legal due diligence and preparation of risk assessments.
• Advise on governance, nonprofit and tax-exempt considerations.
• Coordinate multidisciplinary transaction teams and outside counsel.
• Provide practical, risk-balanced advice to senior leaders and transaction teams.
• Manage outside counsel and ensure timely, cost-effective work.
• Collaborate with DLA leadership to deliver coordinated legal support.
• Function independently on complex transactions and handle administrative duties within DLA.
