Qualifications

• Juris Doctor degree from an accredited law school.
• Active license to practice law in California, Oregon, or Washington.
• 7–10 years of relevant healthcare transactions experience.
• Experience managing transactions through the full lifecycle.
• Strong knowledge of healthcare regulatory requirements applicable to transactions.
• Experience coordinating cross‑functional teams (corporate development, strategy, finance, operations, compliance, leadership).
• Superior drafting, negotiation, and analytical skills.
• Ability to translate complex deal and regulatory issues into practical advice.

Responsibilities

• Advise on M&A, divestitures, joint ventures, affiliations, strategic partnerships, and other complex healthcare transactions.
• Support transactions from initial evaluation through closing and integration, including structuring, due diligence, and regulatory submissions.
• Draft, review, and negotiate transaction documents (purchase, affiliation, joint venture, service agreements).
• Identify and advise on healthcare regulatory issues affecting transaction structure and execution.
• Manage legal due diligence and risk assessments for executive leadership.
• Advise on governance, control rights, and nonprofit/tax-exempt considerations.
• Coordinate multidisciplinary transaction teams across departments and outside counsel.
• Provide risk-balanced advice to senior leaders and transaction teams.
