Providence St. Joseph Health seeks an experienced Corporate Counsel to provide strategic and practical legal advice on healthcare transactions.

You will handle structuring, due diligence, and negotiation of complex deals across hospitals, physician networks, and ambulatory services. Responsibilities include regulatory analysis, governance issues, and cross‑functional collaboration with corporate development, finance, and executive leadership.

Competenze

• Juris Doctor degree from an accredited law school.
• Active admission and license to practice law in CA, OR, or WA.
• At least 7-10 years of relevant legal experience advising healthcare organizations on complex transactions.
• Experience managing transactions through full lifecycle.
• Strong knowledge of healthcare regulatory requirements.

Mansioni

• Advise on M&A, divestitures, joint ventures, affiliations, and other healthcare transactions.
• Support transactions from evaluation through closing and post‑closing matters.
• Draft, review, and negotiate transaction documents and ancillary agreements.
• Regulatory analysis including Stark Law, Anti‑Kickback, HIPAA, and related requirements.
• Manage due diligence and provide executive‑level risk assessments.
• Coordinate multidisciplinary transaction teams and outside counsel.
• Provide practical, risk‑balanced advice to senior leaders.
