Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in a sophisticated setting.
• Significant hands-on SEC reporting and disclosure experience (10-K/10-Q).
• Experience with corporate governance, Board matters, and subsidiary governance.

Responsibilities

• Lead SEC reporting and disclosure, including 10-K/10-Q, 8-K, and proxy matters.
• Advise on governance and Board matters; prepare materials for Board and committees.
• Coordinate cross-functionally with Finance, Investor Relations, Treasury, Tax, HR, and Executive Compensation.
• Support governance processes and disclosure controls; assist with strategic corporate initiatives.
• Oversee subsidiary governance and financing activities as needed.
