Qualifications

• J.D. from an accredited law school with active bar in good standing.
• 12+ years of corporate legal experience in law firm or corporate setting.
• Extensive hands-on SEC reporting and disclosure experience (Forms 10-K/10-Q).
• Deep knowledge of SEC regulations, Nasdaq listing standards, SOX, and corporate governance.
• Ability to lead with senior executives and cross-functional teams.
• Experience reviewing governance documents and proxy statements.

Responsibilities

• Lead governance processes for Board and committees.
• Prepare and review Board materials, resolutions, and meeting minutes.
• Oversee SEC reporting and disclosure, including 10-K/10-Q.
• Support insider trading compliance and 16 reporting.
• Assist with strategic transactions and subsidiary governance.
• Collaborate with Finance, IR, Tax, HR on governance and disclosure.
