Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director on a remote, US-based assignment. The role supports complex SEC reporting, governance, and Board matters for a global medical device company.

The engagement is approximately 8 months, full-time hours, with an hourly pay of $120–$140, depending on experience, and some travel to Tempe, AZ as needed. Start ASAP.

Qualifications

• JD from an accredited law school.
• Active bar license in good standing in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience with public companies or sophisticated firms.
• Experience with SEC reporting and disclosure and governance processes.
• Experience advising senior executives on complex governance and compliance.

Responsibilities

• Lead governance processes for the Board and committees.
• Oversee SEC reporting and disclosure for 10-K, 10-Q, and related filings.
• Support risk factors, MD&A drafting, and internal review coordination.
• Guide subsidiary governance and corporate-transaction activities.
• Collaborate with Finance, Investor Relations, Tax, HR, and Treasury on governance matters.
