The role covers SEC reporting, governance, board matters, subsidiary governance, and strategic corporate initiatives, with independence in a fast-paced environment.

The position is remote (U.S.-based) with limited travel to Tempe, AZ, expected to start ASAP, approximately eight months, full-time

Qualifications

• JD from an accredited law school and active bar license in at least one U.S. jurisdiction.
• 12+ years of corporate legal experience in a sophisticated firm or public company.
• Extensive SEC reporting, disclosure, governance, and Board matters experience.

Responsibilities

• Lead corporate governance matters for board and committees.
• Direct SEC reporting, filings (10-K/10-Q/8-K) and disclosure controls.
• Oversee subsidiary governance and governance documentation.
• Support strategic transactions and cross-functional initiatives.
