Beacon Hill Staffing Group, LLC is seeking an experienced Corporate Governance & Securities Counsel, Director for a temporary, full-time assignment. The role focuses on complex SEC reporting, governance matters, and cross-functional collaboration with senior executives across finance, investor relations, and treasury.

The position is remote (U.S.-based) with limited travel to Tempe, AZ, and starts ASAP for approximately 8 months. Compensation is hourly at $120–$140 depending on experience.

Qualifications

• JD from an accredited law school and active bar license in good standing.
• 12+ years of corporate legal experience in sophisticated settings (public or large law firm).
• Experience with SEC reporting, 10-K/10-Q, risk factors, and governance.

Responsibilities

• Lead SEC reporting and disclosure including 10-K, 10-Q, 8-K, and proxy statements.
• Advise on corporate governance, board matters, and related policies.
• Coordinate internal reviews for SEC filings and ensure compliance with Nasdaq, SOX, and Dodd-Frank.
• Support subsidiary governance and strategic corporate initiatives.
• Partner with Finance, IR, Tax, HR, and executive leadership on reporting and governance.
