Job summary

ManpowerGroup is seeking a Senior Corporate Counsel, Commercial to serve as a senior legal advisor on global corporate and commercial matters. The role involves strategic, risk-balanced counsel on workforce solutions, insurance programs, vendor agreements, data privacy and AI governance, franchising, and M&A/divestitures.

The position requires leadership in legal judgment, negotiating strategy, and stakeholder guidance, with paralegal support handling routine intake, coordination, and reporting.

Qualifications

• Qualified attorney with admission to practice law in at least one jurisdiction.
• Significant experience advising on corporate, commercial, contracting, and risk management matters in a global environment.
• Experience drafting, reviewing, and negotiating vendor agreements, software/license terms, and related disputes.
• Knowledge of data privacy, AI governance, franchising, corporate insurance, and M&A/divestiture support.

Responsibilities

• Provide senior legal advice on IWSF matters, guiding risk escalation and negotiations.
• Lead legal strategy for global insurance programs, including coverage strategy and claims handling.
• Advise on vendor agreements, including terms, liability, indemnity, data, and dispute provisions.
• Govern data privacy and AI governance, balance regulatory requirements with business needs.
• Oversee global franchising activity and regulatory obligations across jurisdictions.
• Lead M&A and divestiture workstreams, NDAs, due diligence, and risk escalation.
• Manage external counsel, insurers, brokers, and other advisors; collaborate with Finance, Sales, IT, Sourcing, and country counsel.
