Job summary

Cooley LLP is seeking a Senior Fund Formation Paralegal to support its attorneys in complex fund formation matters. The role includes preparing and maintaining organizational documents, drafting fund agreements, and conducting investor due diligence.

The candidate should have a minimum of 5 years of paralegal experience (preferably in fund formation), a Bachelor’s degree, and proficiency with Microsoft Office and iManage. Overtime may be required as needed.

Qualifications

• Bachelor’s degree required; fund formation experience preferred.
• Minimum 5 years of paralegal experience, preferably in Fund Formation.
• Ability to bill at least 1600 hours annually.
• Strong MS Office and iManage proficiency.
• Overtime availability.

Responsibilities

• Prepare and maintain organizational documents for fund formations.
• Prepare partnership and LLC agreements.
• Prepare side letters, transfer agreements, admission agreements and amendments.
• Conduct investor suitability due diligence.
• Research securities regulations at federal and state levels for fund formations.
• Prepare and file requisite notices.
• Due diligence review of documents and prepare opinions and backups.
• Handle SEC compliance reporting for venture fund clients.
• Submit timesheets and e-timelogs; perform administrative duties.
• Other duties as assigned.
