Job summary

Considine Search is seeking a paralegal to support attorneys and senior paralegals with venture fund and emerging company work. You will handle organizational documents, partnership and LLC agreements, side letters and amendments, and investor due diligence.

The role requires a Bachelor’s degree, at least one year of fund formation paralegal experience, and the ability to work independently in a fast-paced environment.

Qualifications

• Bachelor’s degree required.
• Minimum of 1 year experience as a Fund Formation Paralegal.
• Ability to work independently and in a fast-paced environment.
• Strong written and proofreading skills with attention to detail.
• Ability to organize and prioritize work and meet deadlines.

Responsibilities

• Prepare and maintain organizational documents.
• Prepare partnership and LLC agreements.
• Prepare side letters, transfer agreements, admission agreements and amendments.
• Conduct investor due diligence.
• Research securities regulations related to fund formations.
• Prepare and file requisite notices.
• Conduct due diligence reviews with opinions and backups for fund formation.
• Handle SEC compliance reporting for venture fund clients.
• Submit time sheets and other administrative duties.
