Cooley LLP is seeking a Senior Fund Formation Paralegal. The role supports attorneys and senior paralegals in fund formation work, including document preparation, due diligence, and regulatory research.

Responsibilities cover organizational documents, agreements, notices, SEC reporting, and administrative duties. A paralegal certificate and strong office software skills are preferred; 40-hour weeks with overtime as needed.

Qualifications

• Bachelor’s degree required with 1600 hours annually.
• Minimum 5 years paralegal experience, preferably in Fund Formation.
• Proficiency in Microsoft Office suite, iManage and other firm applications.

Responsibilities

• Prepare and maintain organizational documents.
• Prepare partnership and LLC agreements; side letters and admission agreements.
• Conduct investor due diligence and securities regulation research for fund formations.
• Prepare and file requisite notices; assist with due diligence and opinions.
• Handle SEC compliance reporting for venture fund clients; maintain time logs and admin duties.
