Job summary

Cooley LLP in Chicago seeks a Fund Formation Paralegal to support attorneys and senior paralegals on venture fund matters and fund formations. You will prepare organizational docs, partnership and LLC agreements, side letters, and amendments; conduct investor due diligence; research securities regulations; and handle notices and filings with SEC compliance oversight.

Ideal candidates have 1–3 years of fund formation experience, a Bachelor's degree, and preferably a Paralegal Certificate;

Qualifications

• Overtime may be required.
• Bachelor’s Degree with minimum 1600 hours annually; 1–3 years Fund Formation experience.
• Paralegal Certificate preferred.

Responsibilities

• All facets of emerging company and venture fund work including: Preparation and maintenance of organizational documents
• Preparation of partnership and limited liability company agreements
• Preparation of side letters, transfer agreements, admission agreements and other amendments
• Conducting investor suitability due diligence
• Research of Federal and State securities regulations in connection with fund formations
• Preparation and filing of requisite notices
• Conduct due diligence review of documents and with the preparation of opinions and backup in connection with fund formation
• Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios
• Turn in time sheets, e-timelogs and fulfill other administrative duties in a timely fashion
• All other duties as assigned or required
